Terms of Service

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE DOCEVAULT SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

1. Acceptance of Terms

These Terms of Service ("Terms") are a legally binding agreement between you and docEvault LLC, a California limited liability company. By creating an account or using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of Service

docEvault provides a cloud-based document collection and management platform enabling professionals to request, receive, organize, and manage documents from contacts. Features include checklist-based and open-ended document requests, automated reminders, document review workflows, team collaboration, cloud storage integrations, and in-app communications.

3. Account Registration and Security

You must provide accurate information when creating your account and keep it current. You are responsible for maintaining the confidentiality of your credentials. docEvault enforces a single-session-per-seat policy - a new login will terminate the prior session for the same account. Sharing credentials with individuals who do not have their own paid seat is prohibited.

4. Subscription Plans and Payment

Plans and Pricing

Pricing is subject to change with 30 days written notice. All fees are in USD and non-refundable except as required by law. Subscriptions renew automatically. You may cancel at any time through your billing settings; cancellation takes effect at the end of the current billing period.

5. Acceptable Use

You may use the Service only for lawful purposes and only to collect documents from individuals who have consented to receive communications from you. You agree not to:

If you are a licensed professional, you remain solely responsible for ensuring your use of the Service complies with all applicable professional rules, regulations, and ethical obligations.

6. Content and Data

You retain all ownership rights in documents and content you upload ("Your Content"). You grant docEvault a limited license to host, store, and process Your Content solely to provide the Service. You are responsible for ensuring you have all necessary rights and consents to upload and share Your Content. All documents are encrypted at rest and in transit. docEvault is not a backup service - maintain your own copies of important documents.

7. Third-Party Integrations

The Service integrates with Google Drive, Dropbox, Microsoft 365, Box, Zoho WorkDrive, Zapier, Stripe, SendGrid, and Twilio. Your use of these integrations is subject to each third party's terms and privacy policy. docEvault is not responsible for the practices, availability, or reliability of third-party services.

docEvault is not affiliated with, sponsored by, or endorsed by Dropbox, Google, Microsoft, Box, or Zoho. All product names, logos, and trademarks referenced are the property of their respective owners.

8. Intellectual Property

The Service and its content (excluding Your Content) are the exclusive property of docEvault LLC, protected by US and international intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission. Feedback you provide to us may be used without obligation or compensation to you.

9. Privacy

Your use of the Service is governed by our Privacy Policy, incorporated into these Terms by reference.

9a. SMS Communications

Program: docEvault SMS Reminders. If you provide docEvault with a contact's phone number and the contact opts in through the consent process described in our Privacy Policy, docEvault will send that contact automated SMS text messages on your behalf — including document request reminders and related account notifications — via docEvault.com.

Message frequency varies depending on your reminder schedule and the number of outstanding document requests; recurring messages may continue until the request is completed or the contact opts out. Message and data rates may apply.

To opt out of future messages, reply STOP at any time. For help, reply HELP, or contact our customer support at support@docevault.com.

Carriers are not liable for delayed or undelivered messages.

We do not share, sell, or otherwise provide phone numbers or messaging consent information to third parties or affiliates for marketing or promotional purposes. See our Privacy Policy, Section 3, for full details on how we handle phone number and SMS consent data.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. DOCEVAULT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. DOCEVAULT DOES NOT PROVIDE LEGAL, FINANCIAL, MEDICAL, OR OTHER PROFESSIONAL ADVICE. ANY TEMPLATES OR CHECKLISTS ARE FOR INFORMATIONAL PURPOSES ONLY.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOCEVAULT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. DOCEVAULT'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID IN THE PRECEDING 12 MONTHS OR (B) $100.

11a. Usage Limits

To ensure fair use and service reliability for all customers, the following limits apply by plan:

If your usage consistently exceeds your plan limits, docEvault will notify you and work with you to upgrade to an appropriate plan. We reserve the right to throttle or suspend accounts that materially exceed plan limits without upgrading.

12. Indemnification

You agree to indemnify and hold harmless docEvault LLC and its members, managers, and employees from any claims, liabilities, damages, and expenses (including attorneys' fees) arising from your use of the Service, Your Content, or your violation of these Terms or applicable law.

13. Term and Termination

These Terms remain in effect until terminated. You may terminate by canceling your subscription. We may suspend or terminate your access if we believe you have violated these Terms, with notice where feasible. Upon termination, your right to use the Service ceases immediately. Sections 6, 8, 10, 11, 12, 14, 15, and 16 survive termination.

14. Dispute Resolution

These Terms are governed by California law. Before filing any formal claim, you agree to contact us at support@docevault.com and attempt informal resolution for 30 days. Any unresolved dispute shall be resolved by binding arbitration administered by JAMS in San Francisco, California. YOU AGREE THAT ANY DISPUTE RESOLUTION WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS, NOT AS A CLASS ACTION.

15. General Provisions

These Terms constitute the entire agreement between you and docEvault. If any provision is held invalid, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our written consent.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting notice at least 30 days before changes take effect. Continued use of the Service after the effective date constitutes acceptance.
